1. Introduction

Welcome to ClearInsite. These Terms of Service ("Terms") govern your access to and use of the ClearInsite website and the licensing of our Functional Test Generator (FTG) software. By accessing our services or using our licensed software, you agree to be bound by these Terms. If you disagree with any part of the Terms, you do not have permission to access the service or use our software.

2. Definitions

Throughout these Terms, the following definitions apply:

  • "Service" refers to the ClearInsite website accessible at clearinsite.io
  • "FTG" or "Functional Test Generator" refers to our licensed AI-powered test generation software
  • "License" refers to the subscription-based right to use FTG software
  • "User," "you," and "your" refer to the individual, company, or organization that has licensed our software
  • "ClearInsite," "we," "us," and "our" refer to ClearInsite, LLC
  • "Generated Content" refers to test code, scenarios, and analysis produced by FTG in your environment

3. FTG License Grant and Usage

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable license to use FTG during your subscription period:

  • License Scope: Generate unlimited functional tests for websites and applications you own or have authorization to test
  • Installation: Install and run FTG within your own computing environment and infrastructure
  • API Integration: Use your own OpenAI API key to enable FTG's AI-powered capabilities
  • Generated Content: You own all test code and analysis generated by FTG in your environment
  • Restrictions: You may not reverse engineer, redistribute, sublicense, or create derivative works of FTG
  • Compliance: Use FTG only for lawful purposes and in accordance with applicable laws and regulations

4. Subscription and Payment Terms

FTG is offered through monthly or annual subscription licensing:

  • Subscription Plans: Monthly ($299) or Annual ($2,990, includes 3 bonus analysis reports worth $1,497)
  • Payment: All fees are due in advance and exclusive of applicable taxes
  • Auto-Renewal: Subscriptions automatically renew unless cancelled before the renewal date
  • Cancellation: You may cancel at any time; access continues through the end of the billing period
  • Refunds: Pro-rated refunds may be provided at our discretion for technical issues preventing FTG usage
  • Price Changes: We may modify pricing with 30 days' notice; existing subscriptions remain at current pricing until renewal
  • Usage Limits: No restrictions on the number of tests generated during your subscription period

5. Intellectual Property Rights

ClearInsite Ownership: We own all intellectual property rights in FTG software, including:

  • FTG source code, algorithms, and AI integration methodology
  • Our website design, logo, trademarks, and branding
  • Documentation, user guides, and technical specifications
  • All improvements and updates to FTG

Your Ownership: You retain full ownership of:

  • All test code generated by FTG in your environment
  • Your application data, website content, and business information
  • Test scenarios, results, and analysis produced using FTG
  • Any custom configurations or modifications you make to generated tests

No Data Access: Since FTG runs in your environment, we have no access to or rights in your generated content or application data.

6. User Conduct

When using our Service, you agree not to:

  • Violate any laws or regulations
  • Test websites without proper authorization
  • Impersonate any person or entity
  • Interfere with or disrupt the Service
  • Attempt to gain unauthorized access to our systems
  • Use our Service to transmit malware, viruses, or other harmful code
  • Scrape, data-mine, or reverse-engineer the Service
  • Use the Service in a manner that exceeds reasonable request volume or constitutes abuse

7. FTG Capabilities and Limitations

FTG is designed to generate comprehensive functional tests using AI-powered analysis. However, you acknowledge and understand that:

  • AI-Generated Content: Test code is generated by artificial intelligence and may require review, modification, or debugging
  • Test Coverage: Generated tests provide broad coverage but may not capture every edge case or complex user workflow
  • Browser Compatibility: Tests are optimized for modern browsers; older browsers may require manual adjustments
  • Dynamic Applications: Highly dynamic or JavaScript-heavy applications may need additional test customization
  • Business Logic: FTG focuses on UI interactions; complex business logic validation may require manual test enhancement
  • Maintenance: Generated tests may need updates as your application evolves
  • Quality Assurance: While FTG generates production-ready test foundations, we recommend code review and testing validation

FTG significantly accelerates test creation and provides enterprise-grade test structure, but should be part of a comprehensive QA strategy.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

ClearInsite does not warrant that:

  • The Service will function uninterrupted or error-free
  • The results of using the Service will meet your requirements
  • The Service will catch all possible issues or errors in your website
  • The Service will render your website fully compliant with all accessibility, security, or other standards

9. Limitation of Liability

IN NO EVENT WILL CLEARINSITE, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

In jurisdictions where limitation of liability for certain damages is not permitted, our liability will be limited to the maximum extent permitted by law.

10. Indemnification

You agree to indemnify, defend, and hold harmless ClearInsite and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees arising out of or relating to:

  • Your violation of these Terms
  • Your User Content
  • Your use of the Service in a manner that violates rights of a third party
  • Your use of the Service for analyzing websites without proper authorization

11. Modifications to the Service and Terms

ClearInsite reserves the right to modify or discontinue, temporarily or permanently, the Service with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.

We may revise these Terms from time to time. The updated version will be effective on the date specified in the updated Terms. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised Terms.

12. Third-Party Links and Services

Our Service may contain links to third-party websites or services that are not owned or controlled by ClearInsite. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that ClearInsite shall not be responsible or liable for any damage or loss caused by or in connection with the use of any such content, goods, or services available on or through any such websites or services.

13. License Termination

Your Termination Rights: You may cancel your FTG subscription at any time through your account portal or by contacting support. Cancellation takes effect at the end of your current billing period.

Our Termination Rights: We may terminate or suspend your license immediately for:

  • Breach of these Terms or license restrictions
  • Non-payment of subscription fees
  • Misuse of FTG for illegal or unauthorized purposes
  • Attempts to reverse engineer, redistribute, or violate intellectual property rights

Effect of Termination: Upon termination, your license to use FTG immediately ceases. However, you retain ownership of all test code and content generated during your subscription period. We recommend backing up your FTG-generated assets before termination.

Survival: Provisions regarding intellectual property, payment obligations, and limitations of liability survive termination.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the state of Indiana, United States, without regard to its conflict of law provisions.

Any legal action or proceeding arising out of or relating to these Terms or your use of the Service shall be brought exclusively in the federal or state courts located in Indiana, and you consent to the personal jurisdiction of such courts.

15. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent necessary, and the remaining provisions of the Terms will continue in full force and effect.

16. Entire Agreement

These Terms constitute the entire agreement between you and ClearInsite regarding our Service and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning the Service.
